AFUSA HIGHLAND - TERMS OF SERVICE

1. Acceptance

A. AFUSA HIGHLAND is a software developed by EITV USA INC, with head offices at 6131 Bimini Twist Loop, Orlando, Florida, USA, 32819, hereinafter referred to as “EiTV”.

B. By using the AFUSA HIGHLAND software or any products derived from the AFUSA HIGHLAND software such as applications, web sites, programs, data supply and services provided to You, from or through the AFUSA HIGHLAND software ("AFUSA HIGHLAND"),
You express your agreement to these terms and conditions ("Terms of Service"). If You do not agree to any of these Terms of Service, You must not use AFUSA HIGHLAND.

C. While we strive to notify You whenever significant changes are made to these Terms of Service, You should periodically review the most up-to-date version of the Terms of Service on the AFUSA HIGHLAND web sites and applications. AFUSA HIGHLAND may, at its sole discretion, modify or revise these Terms of Service and its policies at any time, and You agree to comply with such modifications or revisions. Nothing in these Terms of Service shall be construed as granting any rights or benefits to any third party.

D. It is important to know that the AFUSA HIGHLAND content is controlled and offered by the EiTV CLOUD Service (www.eitvcloud.com) from its facilities in the United States of America (“EiTV CLOUD Service”). The EiTV CLOUD Service is responsibility of EITV USA INC, a company created and organized under the laws of the State of Delaware, USA, with head offices at 501 Silverside Rd Ste 105, Wilmington, DE, 19809. EiTV does not guarantee that the EiTV CLOUD Service content is appropriate or available for use in locations other than the USA. Persons accessing or using AFUSA HIGHLAND from other jurisdictions do so at their own risk and are responsible for compliance with regional/national laws.

E. Regarding the ability to accept the Terms of Service, You represent that You are over 18 years of age or an emancipated minor, or in possession of legal parental or guardian authorization, and fully capable of consenting to the terms, conditions, obligations, statements, representations and warranties described in these Terms of Service, and to obey and comply with them. In any event, You claim to be over 18 years of age, as AFUSA HIGHLAND is not designed for persons under the age of 18. If You are under the age of 18, You must not use AFUSA HIGHLAND. You should talk to your parents about which apps and websites are appropriate for you.

2. The Service

A. These Terms of Service apply to all AFUSA HIGHLAND users, including users who also contribute content to the EITV CLOUD Service. "Content" includes text, programs, scripts, graphics, images, sounds, music, videos, audiovisual combinations, interactive features, and other materials that You may view, access, or contribute to the EiTV CLOUD Service. The EITV CLOUD Service includes all aspects of AFUSA HIGHLAND, including but not limited to all products, applications, web sites, programs and services offered through AFUSA HIGHLAND.

B. AFUSA HIGHLAND and the EiTV CLOUD Service may contain links and embedded content from third party websites that are not owned or controlled by AFUSA HIGHLAND and the EiTV CLOUD Service. AFUSA HIGHLAND and the EITV CLOUD Service have no control over, and assume no responsibility for, the content, privacy policies or practices of any third party website. In addition, AFUSA HIGHLAND and the EITV CLOUD Service cannot and will not censor or edit the content of any third party website. By using AFUSA HIGHLAND and the EiTV CLOUD Service, You expressly exempt AFUSA HIGHLAND and the EiTV CLOUD Service from any and all liability arising from your use of any third party website.

C. Accordingly, we advise You, when using AFUSA HIGHLAND and the EiTV CLOUD Service, to read the terms and conditions and privacy policy of all other websites You visit.

3. AFUSA HIGHLAND Accounts

A. To access some contents of the EiTV CLOUD Service, You will have to create an account on AFUSA HIGHLAND. You may never use another user's account without permission. When creating your account, You must provide accurate and complete data. You are solely responsible for the activity that occurs on your account, and you must keep your account password in a safe place. You must notify AFUSA HIGHLAND immediately of any breach of security or unauthorized use of your account.

B. While EiTV is not responsible for any loss caused to You by unauthorized use of Your account, You may be liable for any loss to EiTV or others arising from such unauthorized use.

4. General Use of the Service - Permissions and Restrictions
Hereby, AFUSA HIGHLAND grants You permission to access and use the EiTV CLOUD Service as described in these Terms of Service, provided that:

A. You agree not to distribute to/by any means any part of the EiTV CLOUD Service or the Content without EiTV's prior written authorization, unless AFUSA HIGHLAND provides the means of distribution, through features offered by the EiTV CLOUD Service ( as an "Embeddable Player”).

B. You agree not to alter or modify any part of the EiTV CLOUD Service.

C. You agree not to access the Content through any technology or other means other than the video display pages of the EiTV CLOUD Service itself, the "Embeddable Player" or any other expressly authorized means that AFUSA HIGHLAND may indicate.

D. You agree not to use the EiTV CLOUD Service for any of the following commercial uses, unless you obtain EiTV's prior written approval:
- selling access to the EITV CLOUD Service;
- selling advertising, sponsorships or sales linking the EiTV CLOUD Service or AFUSA HIGHLAND; or
- selling advertising, sponsorships or sales on any ad-enabled blog page or website containing Content delivered through the EiTV CLOUD Service, unless other materials not obtained from AFUSA HIGHLAND appear on the same page and are of sufficient value to be the basis of such sales.

E. Prohibited commercial uses do not include:
- Submitting an original video on the EiTV CLOUD Service or maintaining an original website on the EiTV CLOUD Service to promote your business or artistic enterprise, and
- Showing videos from the EiTV CLOUD Service through an "Embeddable Player" on an ad-enabled blog or website, without prejudice to the advertising restrictions set out above in Section 4.D; or
- Any uses that AFUSA HIGHLAND or the EiTV CLOUD Service expressly authorizes in writing.

F. If You use the EiTV CLOUD Service’s Embeddable Player on Your website, You must not modify, expand or block any part or functionality of the Embeddable Player, including but not limited to the link to the EiTV CLOUD Service website.

G. You agree not to use or launch any automated system, including but not limited to "robots," "spiders," or "offline readers," that access the EiTV CLOUD Service in order to send more request messages to the EiTV CLOUD Service in a given period of time than it is humanly possible to respond in the same period through a conventional browser. Notwithstanding the above, AFUSA HIGHLAND grants operators of public search engines permission to use “spiders” to copy materials from the website for the sole purpose of, and solely to the extent necessary, to create and provide public indexes of searchable materials, but not caches or files of such materials. AFUSA HIGHLAND reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or gather any personal information, including AFUSA HIGHLAND account names, or use the communication systems provided by AFUSA HIGHLAND (eg, comments, email) for commercial solicitation purposes.

H. When using AFUSA HIGHLAND and the EiTV CLOUD Service, You must comply with all applicable laws and regulations, whether regional, national or international.

I. AFUSA HIGHLAND reserves the right to discontinue any aspect of the EiTV CLOUD Service at any time.

5. Use of Content
In addition to the general restrictions set out above, the following restrictions and conditions apply specifically to the use of the Content.

A. The EiTV CLOUD Service Content and the trademarks, service marks and logos ("Marks") made available on the EiTV CLOUD Service, are licensed to AFUSA HIGHLAND, subject to copyright and other intellectual property rights under the terms of law.

B. The Content is provided to You AS IS. You may access the Content for your information and personal use solely within the functionality provided by AFUSA HIGHLAND and as permitted in these Terms of Service. You may not download any Content unless you see a "download" or similar link displayed by AFUSA HIGHLAND for that Content. You may not copy, reproduce, distribute, transmit, display, sell, license or exploit any Content for any other purpose without the prior written consent of EiTV or the respective Content's licensors. AFUSA HIGHLAND and its licensors reserve all rights not expressly granted in the EiTV CLOUD Service and to the Content.

C. The user agrees not to defraud, disable or in any way interfere with security-related features of the EiTV CLOUD Service or features that prevent or restrict the use or copying of any Content or impose limitations on the use of the EiTV CLOUD Service or its Content.

D. You understand that by using the EITV CLOUD Service, you will be exposed to Content from a variety of sources, and that AFUSA HIGHLAND is not responsible for the accuracy, usefulness, security or intellectual property of or relating to such Content. You understand and agree that You may be exposed to Content that is inaccurate, offensive, indecent or objectionable, and You agree to waive, as you do, any present or future right or indemnity against EiTV related to these matters and, to the extent permitted by law, agrees to indemnify and exempt EiTV, its Owners, Operators, affiliates, licensors and licensees, to the fullest extent permitted by law, regarding all matters relating to the use of AFUSA HIGHLAND and the EITV CLOUD Service.

6. Your Content and Conduct
A. As a AFUSA HIGHLAND account holder You may submit Content to the EiTV CLOUD Service, including videos and user comments. You understand that AFUSA HIGHLAND and the EiTV CLOUD Service do not guarantee confidentiality with respect to any Content that You submit.

B. You will be solely responsible for your Content and the consequences of submitting or posting it. You claim, declare and warrant that You possess or have the necessary licenses, rights, authorizations and permissions to publish the Content You submit, and You authorize AFUSA HIGHLAND and the EiTV CLOUD Service to use all patents, trademarks, trade secrets, copyright or other proprietary rights and such Content for publication on the EiTV CLOUD Service in accordance with these Terms of Service.

C. For clarification purposes, You retain all proprietary rights over Your Content. However, by submitting Content to AFUSA HIGHLAND and the EiTV CLOUD Service, You hereby grant AFUSA HIGHLAND and the EiTV CLOUD Service a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works, display and run the Content in connection with AFUSA HIGHLAND and the EiTV CLOUD Service, including, but not limited to, promotion activities and partial or total redistribution of the Content (and derivative works) in any media format and through any media channel. You also grant all users of AFUSA HIGHLAND and the EiTV CLOUD Service a non-exclusive license to access your Content through AFUSA HIGHLAND and the EiTV CLOUD Service, and to use, reproduce, distribute, display and run such Content as permitted by the features of AFUSA HIGHLAND and the EiTV CLOUD Service and in accordance with these Terms of Service. The above licenses granted by You relating to Content that You submit to AFUSA HIGHLAND and the EITV CLOUD Service will be over within a commercially reasonable time after the removal or deletion of the Content from AFUSA HIGHLAND and the EiTV CLOUD Service. The above licenses, granted by You in connection with User Comments You submit, are permanent and irrevocable.

D. You declare that You will not submit material that is copyrighted, trade secret or otherwise protected by the rights of a third party unless You have permission from the rightful owner of the material or You are legally authorized to post the material and assign to AFUSA HIGHLAND and the EiTV CLOUD Service all license rights granted herein.

E. Additionally, You also agree that You will not submit to AFUSA HIGHLAND and the EiTV CLOUD Service any Content or other material that is contrary to the guidelines of these Terms of Service which may be updated from time to time, or that is contrary to the laws and local, national and international regulations.

F. EiTV does not endorse any Content submitted to AFUSA HIGHLAND and the EiTV CLOUD Service by any user or licensor or any opinion, recommendation or advice expressed therein, and EiTV expressly waives any and all liability in connection with the Content. EiTV does not permit activities that violate copyright or intellectual property rights in AFUSA HIGHLAND and the EiTV CLOUD Service, and EiTV will remove all Content when duly notified that such Content infringes the intellectual property right of any other person. EiTV reserves the right to remove Content without prior notice.

7. Account Cancellation Policy

A. EiTV will terminate the User's access to AFUSA HIGHLAND and the EiTV CLOUD Service if, in appropriate circumstances, the User proves to be a persistent offender. A persistent offender is a User who has been notified of his/her infringing activity more than twice.

B. EiTV reserves the right to decide whether the Content is appropriate and complies with these Terms of Service with respect to infringements other than infringements or violations of copyright laws, such as, but not limited to, pornography, obscene or defamatory material (including defamation, slander or calumny), or excessively long. EiTV may at any time, without prior notice and in its sole discretion, remove such Content and/or cancel a User account for submitting such materials that violate the Terms of Service.

8. Millennium Act of Digital Authorship

A. If You are a copyright holder or an agent of a copyright holder and You believe that any Content infringes Your copyright, You may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA"), providing EiTV with the following information in writing:
- Physical or electronic signature of the person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
- Identification of the copyrighted work allegedly infringed, or if multiple copyrighted works on a single online site are included in a single notice, submit a representative list of such works on that site;
- Identification of the allegedly infringing material or the subject of infringing activity that is to be removed, or access to which is to be disabled, with information reasonably sufficient to enable the service provider to locate the material;
- Reasonably sufficient information to allow the service provider to contact you, such as address, telephone number and, if possible, email address;
- A statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright holder, its agent, or the law; and
- Declaration that the information in the notification is accurate and, under penalty of suffering the penalties provided by law, that You are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

You can send infringement notifications to the email atendimento@eitv.com.br. For clarification purposes, only notices of violation of the DMCA law should be sent to the email atendimento@eitv.com.br; Any other suggestions, comments, requests for technical support and other matters should be sent to AFUSA HIGHLAND's customer service via the email suporte@eitv.com.br. You acknowledge that in the event that you fail to comply with all of the requirements described in this Section 8(A), your information regarding the DMCA and/or other applicable laws may not be accepted.

B. Counter-Notification. If You believe that Your Content has been removed (or access to which has been disabled) is not infringing, or that You have authorization from the copyright holder, the copyright holder's representative or under the law to submit and use the Content, You may submit a counter notification to the email atendimento@eitv.com.br containing the following information:
- Physical or electronic signature;
- Identification of the Content that was removed or access to which was disabled and the location where the Content appeared before it was removed or disabled;
- A statement that You have a good faith belief that the Content was removed or disabled as a result of misunderstanding or misinterpretation of the Content; and
- Name, address, telephone number and e-mail address, statement that you submit to the jurisdiction in force in the United States of America, and statement that you will receive service of process from the person who provided the notification of the alleged infringement.

If EiTV receives a counter-notice, EiTV may send a copy of the counter-notice to the original complainant stating that the removed Content may be re-entered on the EiTV CLOUD Service or your access reactivated within 10 business days. If the copyright holder does not file a lawsuit seeking a court order against the service provider, member or user, the removed Content may be relocated, or access to it restored, 10 to 14 business days or more after receipt of the counter-notification, at EiTV's sole discretion.

9. Waiver
YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK, TO THE EXTENT PERMITTED BY LAW. EITV, ITS EXECUTIVES, DIRECTORS, EMPLOYEES AND REPRESENTATIVES DISCLAIM ANY RESPONSIBILITY, EXPRESS OR IMPLICIT, IN CONNECTION WITH THE AFUSA HIGHLAND AND THE EITV CLOUD SERVICE AND YOUR USE THEREOF. EITV DOES NOT GUARANTEE NOR TAKE RESPONSIBILITY FOR THE ACCURACY OR COMPLETENESS OF THE CONTENT ON AFUSA HIGHLAND OR THE CONTENT OF ANY SITE LINKED TO THE EITV CLOUD SERVICE, AND ASSUMES NO OBLIGATION OR LIABILITY FOR ANY (I) ERRORS, MISUNDERSTANDINGS OR INACCURACIES OF CONTENT, (II) PERSONAL OR PROPERTY DAMAGES, OF ANY NATURE, RESULTING FROM YOUR ACCESS TO AND USE OF THE AFUSA HIGHLAND AND EITV CLOUD SERVICE, (III) ANY ACCESS TO OR USE OF PROTECTED SERVERS AND/OR ANY AND ALL PERSONAL AND/OR FINANCIAL STORED INFORMATION WHICH HAVE NOT BEEN AUTHORIZED, (IV) ANY INTERRUPTION OR TERMINATION OF TRANSMISSION TO AND FROM AFUSA HIGHLAND AND THE EITV CLOUD SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH AFUSA HIGHLAND AND THE EITV CLOUD SERVICE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE OF ANY NATURE SUFFERED AS A RESULT OF THE USE OF ANY CONTENT OR EMAIL SENT, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH AFUSA HIGHLAND AND THE EITV CLOUD SERVICE. EITV DOES NOT WARRANT, ENDORSE, DEFEND, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE DISCLOSED OR OFFERED BY ANY THIRD PARTY THROUGH THE AFUSA HIGHLAND, THE EITV CLOUD SERVICE OR ANY HYPERLINK OF THE AFUSA HIGHLAND AND EITV CLOUD SERVICE, OR DISPLAYED ON ANY OTHER BANNER OR TYPE. AND EITV SHALL NOT PARTICIPATE IN OR SHALL BE IN ANY WAY RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH PURCHASING A PRODUCT OR SERVICE IN ANY MEANS OR IN ANY ENVIRONMENT, YOU SHOULD USE COMMON SENSE AND BE CAUTIOUS WHENEVER NECESSARY.

10. Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL EiTV, ITS EXECUTIVES, DIRECTORS, EMPLOYEES OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY (I) ERRORS, MISUNDERSTANDINGS OR INACCURACY OF CONTENT, (II) PERSONAL INJURY OR MATERIALS, OF ANY NATURE, RESULTING FROM YOUR ACCESS TO AND USE OF AFUSA HIGHLAND AND THE EITV CLOUD SERVICE, (III) ANY ACCESS TO OR USE OF THE PROTECTED SERVERS AND/OR ANY AND ALL PERSONAL AND/OR FINANCIAL INFORMATION STORED THEREOF THAT HAD NOT BEEN AUTHORIZED, (IV) ANY INTERRUPTION OR TERMINATION OF TRANSMISSION TO OR FROM AFUSA HIGHLAND AND THE EITV CLOUD SERVICE, (IV) ANY BUG, VIRUSES, TROJAN HORSES OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH AFUSA HIGHLAND AND THE EITV CLOUD SERVICE BY ANY THIRD PARTIES, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE OF ANY NATURE SUFFERED AS A CONSEQUENCE OF USE OF ANY CONTENT OR E-MAIL SENT, PLAYED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH AFUSA HIGHLAND AND THE EITV CLOUD SERVICE, WHETHER IN LIABILITY, CONTRACT, TORT OR ANY OTHER LEGAL EVENT, AND REGARDLESS OF WHETHER THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE ABOVE LIMITATION OF LIABILITY SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW IN THE COMPETENT JURISDICTION.
YOU SPECIFICALLY ACKNOWLEDGE THAT EITV SHALL NOT BE LIABLE FOR THE CONTENT OR FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTIES AND THAT THE RISK OF INJURY OR DAMAGE RESULTING THEREOF RESTS ENTIRELY WITH YOU.

11. Indemnity
To the extent permitted by applicable law, You agree to defend, indemnify and hold harmless EiTV, its parent company, its executives, directors, employees and representatives from any and all legal claims, damages, liabilities, losses, costs or debts (including, but not limited to attorneys' fees) arising from: (i) use of and access to the Service; (ii) breach of any provision of these Terms of Service; (iii) violation of any third party rights, including but not limited to copyright, property or privacy rights; or (iv) any claim that any Content has caused harm to a third party. Such defense and indemnification obligations will survive these Terms of Service and the use of AFUSA HIGHLAND and the EITV CLOUD Service.

12. Assignment
These Terms of Service and Use and any rights and licenses granted hereunder may not be transferred or assigned by You, but may be assigned by EiTV without any restriction.

13. General Provisions
You agree that: (i) the head offices of the EiTV CLOUD Service will be deemed to be exclusively located in Delaware; and (ii) AFUSA HIGHLAND will be considered passive software that does not give rise to personal jurisdiction over AFUSA HIGHLAND, whether specific or general, in any jurisdiction other than Delaware. These Terms of Service will be governed by the internal laws of the State of Delaware, regardless of conflict of law principles. Any claim or dispute between You and the EiTV CLOUD Service arising in whole or in part from the EiTV CLOUD Service will be settled exclusively by a competent court located in the city of Wilmington, Delaware. These Terms of Service and any other legal notices published by EiTV on the AFUSA HIGHLAND and the EITV CLOUD Service form part of the agreement between You and AFUSA HIGHLAND in relation to the EiTV CLOUD Service. If any provision of these Terms of Service is held by a competent court to be invalid, the invalidity of such provision will not affect the validity of the remaining provisions, which will remain in full force and effect. Waiver of any term of these Terms of Service will not be considered a further or continuing waiver of that or any other term, and failure by EiTV to enforce any right or provision under these Terms of Service will not constitute a waiver of such right or clause. EiTV reserves the right to change these Terms of Service at any time and without notice, and it is your responsibility to re-read these Terms of Service to verify the occurrence of any changes. Your use of AFUSA HIGHLAND and the EiTV CLOUD Service by You following any amendment to the Terms of Service shall imply consent and acceptance of the amended terms. YOU AND EITV AGREE THAT ANY LEGAL ACTION ARISING OUT OF OR RELATING TO AFUSA HIGHLAND AND THE EITV CLOUD SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES. OTHERWISE, THE LAW SHALL PRESCRIBE.

This Policy applies to information we collect when you register an account on the PLATFORM, access or use our website, download our software through our website or applications available on mobile devices or use any services made available by us (“Services”), or when you in any other form interact with us. This Policy also applies to information collected about you when you receive or make payments through our tools, even if you do not have an account with us.

This Policy does not apply under any circumstances to information collected by third parties registered on the PLATFORM.
